General Terms and Conditions (GTC)

§ 1 Scope of Application

1.1 These General Terms and Conditions (hereinafter "GTC") apply to all contracts concluded between Company 4 Humanity (hereinafter "Provider") and the customer via the Provider's online shop at www.company4humanity.com.

1.2 The version of the GTC valid at the time of conclusion of the contract shall apply.

1.3 Deviating, conflicting or supplementary GTC of the customer shall not become part of the contract unless the Provider expressly agrees to their validity in writing.

1.4 These GTC apply to consumers within the meaning of § 13 BGB (German Civil Code) and to entrepreneurs within the meaning of § 14 BGB, unless expressly differentiated.

§ 3 Conclusion of Contract

3.1 The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to submit an offer (invitatio ad offerendum).

3.2 By clicking the "Add to Cart" button and subsequently "Checkout" or "Pay Now", the customer submits a binding offer to conclude a purchase contract.

3.3 The purchase contract is concluded when the Provider accepts the order by a separate order confirmation email or dispatches the goods.

§ 4 Prices and Payment

4.1 All stated prices are final prices in Euro (EUR) and include statutory value added tax and all other price components.

4.2 Shipping costs are not included in the product price and will be shown separately to the customer before completion of the order process.

4.3 The following payment methods are available:

•       Credit card (Visa, Mastercard)

•       PayPal

•       Sepa Direct Debit

4.4. The Provider reserves the right to exclude certain payment methods or to offer additional payment methods.

§ 5 Delivery and Shipping

5.1 Delivery is made to the delivery address provided by the customer.

5.2 Delivery times:

•       Germany: typically 2–3 business days

•       EU: typically 3–7 business days

•       International: typically 1–2 weeks

5.3 Stated delivery times are non-binding estimates and begin on the business day following receipt of payment.

5.4 Shipping is carried out in cooperation with DHL. After dispatch, the customer will receive a tracking number by email.

5.5 If a product is temporarily unavailable, the Provider will inform the customer immediately and provide an estimated delivery date. In the event of permanent unavailability, the Provider shall be released from the obligation to perform; payments already made will be refunded immediately.

§ 6 Retention of Title

The delivered goods remain the property of the Provider until full payment of the purchase price has been received.

§ 7 Right of Withdrawal (consumers only)

Withdrawal Policy

You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the last good.

To exercise the right of withdrawal, you must inform us:

of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an email). To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise.

We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

You shall send back the goods or hand them over to us without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of 14 days has expired. You will have to bear the direct cost of returning the goods.

Exclusions from the Right of Withdrawal

The right of withdrawal does not apply to contracts for the supply of goods that are not prefabricated and for the production of which an individual selection or determination by the consumer is decisive, or which are clearly tailored to the personal needs of the consumer, or to contracts for the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons if their seal has been removed after delivery.

§ 8 Warranty / Liability for Defects

9.1 Statutory warranty rights apply.

9.2 The limitation period for defect claims for newly manufactured goods is 2 years from delivery.

9.3 For entrepreneurs, the limitation period for defect claims is, by way of derogation from para. 2, one year from delivery.

9.4 Obvious defects must be reported to the Provider in writing immediately upon discovery, at the latest within 14 days of delivery.

§ 9 Limitation of Liability

10.1 The Provider is liable without limitation for damages resulting from injury to life, body or health, as well as for intentionally or grossly negligently caused damages.

10.2 Otherwise, the Provider's liability is excluded to the extent permitted by law.

10.3 The above limitations of liability do not apply to claims under the German Product Liability Act (Produkthaftungsgesetz).

§ 10 Data Protection

11.1 The Provider collects, processes and uses the customer's personal data exclusively for the purpose of processing the contract and in accordance with applicable data protection laws, in particular the GDPR.

11.2 Further information on data protection can be found in the Provider's privacy policy at www.company4humanity.com.

12.2 At the end of each year, 80% of annual net profit is distributed to GDfH; the monthly 5% donations are offset against this amount.

12.3 Details are documented in the Provider's Donation Policy, available at www.company4humanity.com.

12.4 The donation mechanism does not create any direct legal claim by the customer against third parties.

§ 11 Dispute Resolution

13.1 The European Commission provides a platform for online dispute resolution (ODR platform) at https://ec.europa.eu/consumers/odr/.

13.2 The Provider is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

§ 12 Applicable Law and Jurisdiction

14.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

14.2 For consumers residing in an EU member state, the mandatory consumer protection provisions of the respective country of residence also apply.

14.3 The place of jurisdiction for disputes with entrepreneurs is Bochum, Germany.

§ 13 Final Provisions

15.1 Should individually provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.

15.2 The Provider reserves the right to amend these GTC at any time. The version valid at the time of conclusion of the contract shall apply to contracts already concluded.

15.3 The contract language is German and English. In the event of contradictions between the German and English versions, the German version shall prevail.
